Securitize Targets a New Era of Tokenized Equities

Securitize, a leading firm in tokenized securities infrastructure, has announced plans to launch what it calls the first fully compliant, natively tokenized public stocks that represent real equity ownership onchain.

According to the company, the product is expected to go live in Q1 2026 and aims to move beyond synthetic or price-tracking token structures by issuing actual regulated shares directly on blockchain networks.

Unlike many existing offerings, these tokens will be recorded directly on issuers’ capitalization tables, ensuring that holders own real shares rather than derivatives or exposure products.

Moving Beyond “Exposure” to True Ownership

Securitize sharply distinguished its approach from recent tokenized stock products that mirror share prices without granting ownership rights.

The company criticized structures that rely on:

  • Special-purpose vehicles (SPVs)
  • Offshore custodial arrangements
  • Synthetic representations of stock prices

According to Securitize, such models can introduce counterparty risk, pricing mismatches and regulatory uncertainty — especially when users believe they are holding equities but legally are not.

By contrast, Securitize said its tokens are “real, regulated shares” that comply with securities laws and provide legal ownership.

DeFi-Style Trading, Fully Onchain

A key differentiator of Securitize’s platform is its swap-style trading interface, designed to feel familiar to users of decentralized exchanges.

The company said buyers and sellers will be able to trade tokenized stocks:

  • Fully onchain
  • In real time
  • With near-instant settlement
  • Outside traditional market hours

Securitize argued that while tokenized equities already exist on blockchains today, most are still traded via offchain processes that replicate legacy infrastructure rather than replace it.

Compliance Built Into the Architecture

Rather than positioning compliance as a limitation, Securitize framed it as a core design feature.

The company emphasized that many tokenized stock products today:

  • Lack KYC and AML controls
  • Are issued permissionlessly
  • May not be legally compliant

Securitize’s approach includes:

  • Regulated securities issuance
  • Whitelisted wallets
  • Transfer restrictions aligned with investor eligibility
  • Full regulatory oversight

The company said this structure is essential if tokenization is to scale meaningfully in public markets.

Rethinking Stock Market Infrastructure

Securitize also highlighted inefficiencies in traditional equity markets, where:

  • Investors rarely hold shares in their own name
  • Settlement can take a day or longer
  • Multiple intermediaries add friction and cost

Tokenization, the firm argues, enables a redesign of this system by allowing shares to be issued, transferred and settled natively onchain — without sacrificing investor protections.

Transfer Agent Meets Blockchain

Securitize plans to serve as the registered transfer agent for its tokenized shares. Transfer agents are responsible for maintaining official shareholder records and processing ownership changes.

By combining that role with blockchain-based issuance, Securitize said its tokens would be legally recognized securities — not proxy claims or IOUs.

This structure allows tokenized shares to maintain full regulatory legitimacy while benefiting from blockchain-native features.

Programmability Is the Real Opportunity

While faster settlement often dominates discussions around tokenization, Securitize emphasized programmability as the more transformative benefit.

Programmable securities can:

  • Interact with smart contracts
  • Be used in compliant DeFi applications
  • Enable new financial workflows
  • Unlock composability without sacrificing safeguards

Securitize believes this will allow regulated equities to integrate with DeFi platforms while maintaining compliance, investor protections and auditability.

Upgrading Finance, Not Replacing It

The company framed its initiative as an evolution rather than a disruption of traditional finance.

“This is not about replacing traditional finance,” Securitize said. “It’s about upgrading it.”

As regulators, institutions and blockchain infrastructure mature, natively tokenized stocks could become a bridge between legacy markets and decentralized systems — reshaping how equities are issued, traded and managed.
